Welcome to Wayfinder Carts, a trade name of Wayfinder Cars B.V. Before we get moving, we need to agree on the route.
These General Terms and Conditions of Sale and Delivery (“Terms”) govern all quotations, order confirmations, agreements, and deliveries of Wayfinder Carts (“Wayfinder”, “we”, “us”, or “our”) to its customers. By placing an order or entering into an agreement, the customer accepts these Terms in full.
These Terms are structured in three parts:
- Part A — General Provisions (applicable to all customers)
- Part B — B2B Provisions (applicable to professional / business customers only)
- Part C — Consumer Provisions (applicable to consumers only)
In the event of a conflict between provisions, Part C prevails for consumers; Part B prevails for business customers. Part A applies to both.
PART A — GENERAL PROVISIONS
Applicable to all customers, both business and consumer.
1. About Us

2. Applicability and Formation of Agreement
2.1 These Terms apply to all offers, quotations, order confirmations, agreements, and deliveries of Wayfinder, to the exclusion of any general terms and conditions of the customer, unless Wayfinder has expressly accepted such terms in writing.
2.2 An agreement is formed at the moment Wayfinder sends a written order confirmation or commences execution of the order, whichever is earlier.
2.3 Quotations and offers are non-binding and valid for 30 days from the date of issue, unless otherwise stated.
2.4 Any deviation from these Terms is valid only if expressly agreed in writing and signed by an authorised representative of Wayfinder.
2.5 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
3. Intellectual Property — Our Showroom
3.1 All intellectual property rights in and to our products, website, designs, images, texts, logos, and other content vest in Wayfinder or its licensors.
3.2 The customer receives a limited, non-exclusive, non-transferable licence to use our website for its intended purpose. No rights are granted to reproduce, copy, modify, or commercially exploit any content without Wayfinder’s prior written consent. Think of it like a rental: enjoy the ride, but don’t strip the parts.
3.3 The trade name ‘Wayfinder Carts’ and associated marks and logos are the property of Wayfinder. Use thereof by the customer requires prior written authorisation.
4. Prices
4.1 All prices are exclusive of VAT and any transport, packaging, import, or export costs, unless expressly stated otherwise.
4.2 Wayfinder reserves the right to adjust prices in the event of demonstrable increases in purchase prices, currency exchange rates, taxes, or levies that were not foreseeable at the time the agreement was formed.
4.3 For orders from countries outside the Netherlands, additional import duties, local taxes, or customs clearance fees may apply. These costs are the responsibility of the customer unless expressly agreed otherwise.
5. Delivery and Transfer of Risk
5.1 Wayfinder will aim to deliver products within the timeframe indicated in the order confirmation. Unless a delivery date has been expressly warranted in writing, indicated delivery times are estimates only and do not give rise to liability or the right to cancel.
5.2 Unless agreed otherwise in writing, delivery takes place DAP (Delivered at Place) at the agreed delivery address, in accordance with Incoterms 2020. Risk of loss or damage passes to the customer upon physical delivery.
5.3 For international shipments, the applicable Incoterms are as specified in the order confirmation.
5.4 The customer must inspect delivered products immediately upon receipt. Visible defects, discrepancies, or shortages must be reported to Wayfinder in writing within 5 business days of delivery, failing which the products are deemed accepted.
6. Force Majeure
6.1 Wayfinder shall not be liable for any failure or delay in performance of its obligations where such failure or delay results from circumstances beyond its reasonable control (“Force Majeure”).
6.2 Force Majeure includes, without limitation: fire, flood, natural disaster, pandemic, war, acts of terrorism, government measures, export or import restrictions, port or transport disruptions, strikes, and shortages or delays from suppliers.
6.3 In the event of Force Majeure, Wayfinder may suspend performance or terminate the agreement in whole or in part without liability for damages. If suspension exceeds 90 days, either party may terminate the agreement without further obligation.
7. Liability — Road Conditions
7.1 Wayfinder’s liability for direct damages is limited to the amount paid out under its applicable liability insurance, or — in the absence of such payment — to the invoice value of the relevant delivery.
7.2 Wayfinder is not liable for indirect damages, consequential losses, loss of profits, loss of data, loss of goodwill, or business interruption, howsoever caused.
7.3 Any claim for damages lapses if the customer has not submitted a written complaint to Wayfinder within 12 months of the date on which the damage was discovered or should reasonably have been discovered.
7.4 The limitations in this article do not apply in cases of intentional misconduct or gross negligence by Wayfinder, or where mandatory consumer protection law requires otherwise.
ℹ Applicable mandatory law — in particular EU consumer protection legislation — may override the above limitations where the customer is a consumer (see Part C).
8. Product Safety and CE Marking
8.1 All Wayfinder Carts golf and utility carts are designed, assembled, and CE-marked by Wayfinder in its capacity as the legal manufacturer responsible for placing the product on the EU market. CE marking is carried out in compliance with the Machinery Directive 2006/42/EC and, from 20 January 2027, the Machinery Regulation (EU) 2023/1230.
8.2 The battery system fitted to each cart is CE-marked in accordance with the Battery Regulation (EU) 2023/1542.
8.3 The customer agrees to use the products solely for their intended purpose and in accordance with the user manual supplied with each cart. Use in a manner inconsistent with the manual may affect the validity of the warranty and product safety guarantees.
8.4 The customer must not modify the cart — including its electrical system, controller settings, bodywork, seating configuration, or wheel and tire assembly — without the prior written consent of Wayfinder. Unauthorised modifications may void the CE declaration of conformity and expose the customer to liability.
9. Indemnification
The customer shall indemnify and hold harmless Wayfinder and its directors, employees, and agents against all third-party claims, damages, costs (including reasonable legal fees), and losses arising from: (a) the customer’s breach of these Terms; (b) the customer’s violation of any applicable law or regulation; or (c) any unauthorised modification or misuse of the delivered products.
10. Data Protection and Privacy — Road Conditions
10.1 Wayfinder processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable national data protection legislation.
10.2 Personal data is processed exclusively for the purposes of order fulfilment, customer service, warranty administration, and — where consent has been given — marketing communications.
10.3 Wayfinder’s full Privacy Notice is available at www.wayfindercarts.com/privacy-policy. Customers may exercise their rights of access, rectification, erasure, and objection at any time by contacting info@wayfindercarts.com.
10.4 Wayfinder implements appropriate technical and organisational measures to ensure the security of personal data and will not sell or share personal data with third parties except as required for order execution or as required by law.
11. Electronic Communications
By entering into an agreement with Wayfinder, the customer agrees to receive invoices, order confirmations, and other notices by e-mail. Electronic communications have the same legal effect as written communications on paper.
12. Amendments to These Terms
Wayfinder reserves the right to amend these Terms at any time. Amendments take effect for new agreements from the date of publication on the website. The date of the most recent revision is shown at the top of this document.
13. Governing Law and Jurisdiction — Home Base
13.1 These Terms and any agreement to which they apply are governed by the laws of the Netherlands, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG / Vienna Convention).
13.2 Any disputes arising from or in connection with these Terms or the relevant agreement shall be submitted exclusively to the competent court in Amsterdam, the Netherlands.
13.3 Notwithstanding the above, a customer who qualifies as a consumer (see Part C) retains the right to invoke the mandatory consumer protection provisions of the law of their country of habitual residence, where those provisions afford greater protection.
PART B — B2B PROVISIONS
Applicable exclusively to customers acting in the course of a trade, business, or profession.
14. Quotations and Order Acceptance
14.1 Quotations are non-binding and valid for 30 days from the date of issue. Prices are subject to change without notice until an order confirmation has been issued.
14.2 Orders are accepted only upon written order confirmation by Wayfinder. Verbal commitments by Wayfinder employees do not bind Wayfinder.
14.3 Order amendments are only possible with Wayfinder’s prior written consent and may result in adjusted pricing and delivery schedules.
15. Payment Terms
15.1 Payment is due within 30 days of the invoice date, unless otherwise agreed in writing.
15.2 Upon expiry of the payment term, the customer is in default by operation of law (Article 6:119a Dutch Civil Code). Wayfinder is entitled to charge statutory commercial interest from the due date, as well as extrajudicial collection costs in accordance with the Dutch Extrajudicial Collection Costs (Standardisation) Act.
15.3 Where Wayfinder has reasonable grounds to doubt the creditworthiness of the customer, Wayfinder may require advance payment or adequate security (such as a bank guarantee) prior to commencing or continuing delivery.
15.4 The customer is not entitled to set off any amounts against amounts owed to Wayfinder, unless the counterclaim has been acknowledged in writing by Wayfinder or established by a final and binding court judgment.
16. Retention of Title — Your Licence Not Yet Earned
16.1 Title to all delivered products remains with Wayfinder until the customer has satisfied all outstanding obligations to Wayfinder in full, including the purchase price, interest, costs, and any other claims arising from the commercial relationship.
16.2 Until title has passed, the customer may not pledge, encumber, or transfer the products to any third party other than in the ordinary course of its business.
16.3 The customer is obliged to keep the products subject to retention of title adequately insured at its own expense and to notify Wayfinder immediately of any third-party claims against such products.
16.4 If the customer fails to meet its obligations or Wayfinder has well-founded reason to fear it will not, Wayfinder is entitled to reclaim the products without prior notice or judicial intervention. The customer hereby grants Wayfinder access to its premises for this purpose.
16.5 In the event of (threatened) insolvency, bankruptcy, or moratorium of the customer, Wayfinder is entitled to terminate the agreement with immediate effect.
17. Warranty — B2B
17.1 Wayfinder warrants that delivered products conform to the agreed specifications and are free from material and manufacturing defects for a period of 12 months from the date of delivery, unless otherwise agreed in writing.
17.2 Defects must be reported in writing within 14 days of discovery, and in any event within the warranty period. Failure to report within this period forfeits any warranty entitlement.
17.3 The warranty does not cover defects arising from: normal wear and tear; improper use or inadequate maintenance; unauthorised modifications or repairs; external causes such as impact, moisture, or exposure to chemicals; or failure to observe the instructions in the user manual.
17.4 Warranty remedy is limited to free repair or replacement of the defective product or component, at Wayfinder’s discretion. Consequential damages and transport costs are expressly excluded.
17.5 Replaced parts or products become the property of Wayfinder.
18. Complaints and Claims — B2B
18.1 Visible defects, shortages, or incorrect deliveries must be reported in writing within 5 business days of receipt of the products.
18.2 Hidden defects must be reported in writing within 14 days of discovery.
18.3 A complaint does not suspend the customer’s payment obligation.
18.4 Products may only be returned after Wayfinder has issued a written Return Merchandise Authorisation (RMA). Returns must be in original, unused condition and in original packaging. Wayfinder reserves the right to charge a restocking fee of up to 15% of the invoice value.
19. Export, Customs, and Compliance — B2B
19.1 The business customer is solely responsible for obtaining all required import and export licences and permits in the country of destination and for the payment of all applicable import duties and levies.
19.2 Wayfinder is not liable for delays or damages resulting from customs inspection or detention.
19.3 Business customers distributing Wayfinder products in markets outside the EU are responsible for ensuring compliance with all applicable local product safety, homologation, and road traffic requirements. Wayfinder’s CE Declaration of Conformity covers placement on the EU market only.
19.4 The customer shall not re-export Wayfinder products to any country or end user in violation of applicable EU export control regulations.
PART C — CONSUMER PROVISIONS (B2C)
Applicable exclusively to customers who are natural persons acting outside the course of a trade, business, or profession (“consumers”). In the event of any conflict between Part C and Parts A or B, Part C prevails.
20. Age Requirement
Our products and services are intended for persons aged 18 years or older. By placing an order, you confirm that you are at least 18 years of age.
21. How to Order — Current Purchasing Process
21.1 At present, Wayfinder Carts are not available for immediate online purchase and checkout. Orders are initiated through the website or by direct contact with Wayfinder, after which Wayfinder will provide a personalised quotation and order confirmation. The agreement is formed upon the customer’s written acceptance of the order confirmation.
21.2 Wayfinder is actively developing a fully integrated online ordering and payment facility. These Terms are drafted to accommodate that future capability. Where the purchasing process changes materially, Wayfinder will update these Terms accordingly and notify customers of any relevant changes.
22. Right of Withdrawal
22.1 Where an agreement is concluded at a distance (i.e. entirely online or by telephone without the consumer being physically present at Wayfinder’s premises), you generally have the right to withdraw from the agreement within 14 calendar days after the day on which you receive the product, without giving any reason, in accordance with EU Directive 2011/83/EU.
22.2 To exercise the right of withdrawal, you must notify Wayfinder by sending an unambiguous written statement to info@wayfindercarts.com before the withdrawal period expires. You may use the model withdrawal form included as Annex 1 to these Terms, but this is not mandatory.
22.3 Following notification of withdrawal, Wayfinder will communicate a return address and instructions as part of the return procedure. Products must be returned to the address specified by Wayfinder in that procedure. The costs of return shipment are at the consumer’s expense, unless Wayfinder has agreed otherwise.
22.4 Wayfinder will reimburse the purchase price, including the standard delivery costs, no later than 14 days after receipt of the returned product or after the consumer has provided proof of return, whichever is earlier. Reimbursement will be made using the same payment method as the original transaction.
23. Exclusions from the Right of Withdrawal — Custom Configuration
23.1 The right of withdrawal does not apply to products that are made to the consumer’s specifications or clearly personalised (Article 16(c) of EU Directive 2011/83/EU).
23.2 Wayfinder Carts are manufactured and assembled to the individual configuration selected by the consumer at the time of ordering. This configuration may include, without limitation, the following personalised choices:
- Body color and finish of the cart;
- Seat upholstery color and material;
- Seat stitching pattern and style;
- Accent color of seat inserts and trim;
- Matching or contrasting headrest configuration;
- Wheel (rim) style and finish;
- Tire type and size;
- Any other bespoke feature or accessory selected during the ordering process.
23.3 Because each cart is built to order based on the consumer’s personal choices, the finished product cannot be resold by Wayfinder in the same configuration and is therefore excluded from the right of withdrawal.
23.4 By confirming an order that includes one or more personalised choices as described in Article 23.2, the consumer expressly acknowledges that the product is manufactured to their individual specifications and accepts that the right of withdrawal is excluded in respect of that order.
23.5 Where orders are placed through an online ordering facility, the agreement is not formed until the consumer has actively confirmed, by means of a dedicated acknowledgement step, that the order is for a custom-configured product and that the right of withdrawal is consequently excluded. Completion of this step is a condition for the formation of the agreement, in accordance with Article 8(5) of EU Directive 2011/83/EU.
24. Legal Warranty — Consumer (EU Directive 2019/771)
24.1 Wayfinder is required to deliver products that conform to the contract and meet the conformity requirements of the EU Sale of Goods Directive (2019/771), as implemented in national law.
24.2 As a consumer, you are entitled to a statutory legal guarantee of at least 2 years from the date of delivery. During this period you have the right to free repair or replacement of non-conforming products.
24.3 If repair or replacement is not possible within a reasonable time or without significant inconvenience, you are entitled to a proportionate price reduction or rescission of the agreement.
24.4 Defects that manifest within 12 months of delivery are presumed to have existed at the time of delivery, unless Wayfinder can demonstrate otherwise.
24.5 The legal warranty is without prejudice to any commercial warranty offered by Wayfinder, which cannot reduce your statutory rights.
25. Delivery to Consumers
25.1 Because each cart is built to your personal specification, the delivery timeframe depends on the selected configuration and the current production schedule. The applicable delivery period will be communicated to you explicitly in the order confirmation or during the ordering process, and will form part of the agreement.
25.2 If Wayfinder is unable to deliver within the agreed period, you will be notified promptly. In the event of a significant delay attributable to Wayfinder, and where no new agreed delivery date is acceptable, you have the right to cancel the order and receive a full refund.
25.3 Risk of loss or damage passes to the consumer upon physical receipt of the product.
26. Prices — Consumer Transparency
26.1 All prices displayed to consumers include VAT and all legally required charges.
26.2 Any additional costs — such as delivery charges or, for deliveries outside the EU, applicable import duties — will be clearly stated before the consumer is bound by the agreement.
27. Complaints and Dispute Resolution — Consumer
27.1 Complaints regarding products or services may be submitted to Wayfinder at info@wayfindercarts.com. Wayfinder will acknowledge receipt within 5 business days and aim to resolve complaints within 14 calendar days.
27.2 As an EU consumer, you have the right to use the European Online Dispute Resolution (ODR) platform for out-of-court resolution of contractual disputes arising from online transactions: https://ec.europa.eu/consumers/odr.
27.3 These Terms do not affect your rights under the mandatory consumer protection laws of the country in which you habitually reside.
Annex 1 — Model Withdrawal Form
(Complete and return this form only if you wish to withdraw from the agreement.)
